Terms of Service
The agreement that governs our website, the Horsiq ERP/CRM platform, and our services.
These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and Horsiq, a brand of Inkbags LLC ("Horsiq," "we," "us"). They govern your access to and use of our website horsiq.net (the "Site"), the Horsiq ERP/CRM platform and APIs (the "Platform"), and any services we provide (collectively, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be at least 18 and able to form a binding contract. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.
2. The Services
- Site: informational and marketing content.
- Platform: a hosted ERP/CRM and automation product provided on a subscription basis.
- Agency services: custom work (websites, AI automation, marketing, CRM/ERP builds) delivered under a separate written proposal, statement of work, or order ("Order"). If an Order conflicts with these Terms, the Order controls for that engagement.
3. Fees and payment
Fees are stated in your Order or subscription plan. Unless stated otherwise, fees are due in advance, non-refundable except as required by law, and exclusive of taxes. Subscriptions renew automatically for successive terms unless cancelled before renewal. Late amounts may incur interest and suspension of access. We may change pricing on renewal with prior notice.
4. Your content and data
You retain all rights to data and content you submit to the Platform ("Customer Data"). You grant Horsiq a limited license to host, process, and transmit Customer Data solely to provide and support the Services. You are responsible for the legality of your Customer Data and for having the rights and consents needed to upload it. Our handling of personal data is described in our Privacy Policy and, where applicable, a Data Processing Agreement.
5. Acceptable use
You agree not to:
- Break the law or infringe others' rights;
- Upload malware or attempt to gain unauthorized access;
- Reverse engineer, resell, or copy the Platform except as permitted;
- Overload or interfere with the Services or use them to send unlawful spam; or
- Use the Services to build a competing product.
We may suspend access for violations or to protect the Services.
6. AI features
Some features use AI models. Output may be inaccurate or incomplete and should be reviewed before reliance. You are responsible for how you use AI-generated output, and you must not submit data you are not permitted to process.
7. Intellectual property
Horsiq and its licensors own the Site, the Platform, and all underlying software, designs, and trademarks. Except for the limited right to use the Services, no rights are transferred to you. For agency deliverables, ownership transfers as set out in the applicable Order, typically upon full payment; pre-existing tools, libraries, and reusable components remain Horsiq's property and are licensed to you for use within the deliverable.
8. Third-party services
The Services may integrate with third-party products (e.g., hosting, payments, analytics, automation tools, AI providers). We are not responsible for third-party services, and your use of them is subject to their terms.
9. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Services and use it only to perform under these Terms.
10. Warranties and disclaimers
We provide the Services with reasonable care and skill. Except as expressly stated, the Services are provided "as is" and "as available," and Horsiq disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Horsiq will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Horsiq's total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Horsiq in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some may not apply to you.
12. Indemnification
You will defend and indemnify Horsiq against claims arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights.
13. Term, suspension, and termination
These Terms apply while you use the Services. Either party may terminate a subscription at the end of the then-current term with notice. We may suspend or terminate access for material breach or non-payment. On termination, your right to use the Services ends; you may export Customer Data for a commercially reasonable period, after which we may delete it.
14. Changes to the Services and Terms
We may modify the Services and update these Terms. Material changes will be posted here with a new "Last updated" date. Continued use after changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction, except where applicable law provides otherwise.
16. General
These Terms, together with any Order and our Privacy Policy, are the entire agreement between the parties. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Neither party is liable for delays caused by events beyond reasonable control.
